Binance Alpha Terms of Use

1. Scope and Acceptance of Terms

These Binance Alpha Terms of Use (“Alpha Terms”) govern your access to and use of Binance’s Alpha Services. These Alpha Terms are to be read together with, and are supplemental to, the General Terms of Use.  

By accessing and using the  Alpha Services, you acknowledge and agree that you have read, understood and accepted all of the terms and conditions in these Alpha Terms and the General Terms of Use, and you acknowledge and agree that you will be bound by and will comply with these Alpha Terms.   

In the event of any conflict or inconsistency between any provision of these Alpha Terms and the General Terms of Use, these Alpha Terms will prevail to the extent of such inconsistency as it relates to the Alpha Services unless expressly provided otherwise.  

Please read these terms carefully to understand your rights and obligations. If you do not understand and accept these terms in their entirety, you must not access or use the Alpha Services. 

All terms and references used in these Alpha Terms but not otherwise defined herein shall have the meaning given to them in the General Terms of Use unless expressly provided otherwise.  These Alpha Terms constitute Product Terms.  References in the General Terms of Use to “Binance Services” include references to the services contemplated in these Alpha Terms.   

2. Definitions

The following terms are used in these Alpha Terms:

  • Alpha Assets” refers to the Digital Assets listed in the Alpha Section of the Website. 

  • Alpha Account” refers to the Binance Account where you can view and access the Alpha Assets you purchased. 

  • Alpha Quote” has the meaning ascribed to it in Clause 4 b). 

  • Alpha Services” refers to the facilitation of the purchase and sale of Alpha Assets with Binance, as described in Article 4. 

  • Alpha Section” refers to the dedicated section on the Website where Alpha Assets are available for purchase. 

  • Native Asset” has the meaning ascribed to it in Clause 4 b). 

  • Trading Parameters” has the meaning ascribed to it in Clause 4 b). 

  • Trade Request” has the meaning ascribed to it in Clause 4 b).

All other capitalized terms not defined in these Alpha Terms shall have the meaning as set forth in Binance’s General Terms of Use.

3. User Eligibility and Access to Services

To use the Alpha Services, you must meet Binance’s general eligibility criteria outlined in the General Terms of Use and any additional criteria set out in these Alpha Terms. Access to Binance Alpha  may also be restricted in certain jurisdictions in compliance with applicable law.

4. Use of Alpha Services

  1. Availability of Alpha Assets 

Binance will display Alpha Assets on the Binance Website in the Alpha Section and certain market information on such Alpha Assets such as price, trading volume. The display of a Digital Asset and selected market information in the Alpha Section is determined by Binance taking in account a multitude of factors, which include, without limitation, popularity, trading volume and market trends. 

You expressly acknowledge expressly acknowledge and agree agree that (i) the display  of a Digital Asset as an Alpha Asset and selected market information on the Binance Website does not constitute in any way, whether directly or indirectly express or implied, constitute in any way, whether directly or indirectly express or implied, an endorsement by Binance of such assets, (ii) the price of Alpha Assets may go up or go down and Binance in no way makes any representation or provides any assurance as to price performance or quality of Alpha Assets, (iii) and Binance in no way makes any representation or provides any assurance as to price performance or quality of Alpha Assets, (iii) Binance does not represent, directly or indirectly express or implied, or provide any assurance whatsoever that Alpha Assets  will be listed on the Binance Exchange in the future. 

Alpha Assets are Supported Digital Assets within the meaning of the General Terms of Use and the relevant provisions of the General Terms of Use in relation to Supported Digital Assets (in particular, article 15) apply to the Alpha Assets. Consequently, Binance may discontinue the provision of Binance Services, including Alpha Services, in relation to Alpha Assets, at any time. 

  1. Buying and selling Alpha Assets 

(i) Alpha Quote

You may buy or sell Alpha Assets by clicking on the corresponding feature (e.g. “buy” or “sell” button) to request a quote.  Binance may (but is not obliged to) provide a non-binding, indicative and discretionary quote (“Alpha Quote”) for the conversion of (a) Digital Assets credited to your Spot or Funding Account into the selected Alpha Asset or (b) the selected Alpha Asset in your Alpha Account into the selected Digital Asset.  Alpha Assets can only be sold against a limited number of Digital Assets as displayed on the Website from time to time.  

You may confirm or decline an Alpha Quote within the designated period of time as Binance may, in its sole discretion, specify.  It is your responsibility to assess the terms of the Alpha Quote (including, without limitation, the quoted price), confirm the Trading Parameters, and decide whether or not to confirm the Alpha Quote within the specified time. 

(ii) Form of Purchase Price

You may buy Alpha Assets using Digital Assets credited on your Spot or Funding Account. In order to buy Alpha Assets, you must hold either (i) the relevant native Digital Assets of the network on which you want to execute a purchase on (example: SOL, if you want to purchase a token that is offered on Solana) (hereafter, “Native Asset”) or (ii) a stablecoin that is accepted by Binance, as indicated indicated  from time to time on the Website. 

If you do not hold one of these two types of Digital Assets (i.e. the relevant Native Asset or an accepted stablecoin), you may use other Digital Assets in your Spot or Funding Account to purchase an Alpha Asset. In this case, you agree to (i) use Binance Pay to effect  the conversion of the  Digital Asset in your Spot or Funding Account into the relevant  Native Asset or accepted stablecoin and (ii) purchase the Alpha Asset using the relevant Native Token or accepted stablecoin following conversion by Binance Pay. In such a situation, the Binance Pay Terms shall apply to the transaction executed to convert the Digital Assets in your Spot or Funding Account into the relevant Native Asset or accepted stablecoin. 

(iii) Trading Parameters

Before entering into a transaction (buy or sell), you must select the relevant trading parameters as described below (“Trading Parameters”) to execute the transaction by choosing, in particular, whether you want to prioritise; 

  • Success”, in which case you agree to prioritise the execution and speed of the transaction over its cost. This could result in your transaction being subject to higher blockchain fees and greater slippage, which would ultimately result in a higher overall purchase price for  the Alpha Asset that you purchase so you receive less of the relevant Alpha Asset or a lower overall sales price for the Alpha Asset that you sell so you receive less net sales proceeds. You acknowledge and agree that in extreme market conditions, the price slippage with respect to a Success mode transaction could be  up to 50%.

  • Price”, in which case you agree to prioritise the price of the Alpha Asset over the execution and speed of the transaction.  This could lead to the transaction not being executed at all. You acknowledge and agree that a Price transaction may have a lower likelihood of being successfully  executed and that the slippage which may be incurred with respect to a Price mode transaction could  be up to 20%.  If the transaction is successfully executed with less slippage, the number of Alpha Assets or the amount of sales proceeds that you ultimately receive from the transaction may be higher than the minimum set out in the Alpha Quote.  

You acknowledge  and agree that the price at which your purchase or sale transaction with respect to an Alpha Asset is ultimately executed could be impacted by a range of factors including your selection of Trading Parameters, based on your prioritisation of transaction certainty and speed (which may result in higher blockchain network fees and price slippage) versus transaction price (which may result in slower or failed transaction execution).  This means the number of Alpha Assets or amount of sales proceeds that you ultimately receive from a transaction may vary from the minimum amount set out in the Alpha Quote. It is your responsibility to adjust your Trading Parameters, depending on your personal preference  in relation to transaction fees, price slippage and execution certainty. 

It is your responsibility to assess the terms of the Alpha Quote (including, without limitation, the quoted price), confirm the Trading Parameters, and decide whether or not to confirm the Alpha Quote within the specified time. 

(iv) Execution

Your confirmation of the Alpha Quote constitutes an irrevocable formal trade request to Binance to enter into the purchase of an Alpha Asset at the maximum price provided in the related Alpha Quote or the sale of an Alpha Asset at the minimum price provided in the related Alpha Quote (hereafter, a “Trade Request”). Notwithstanding anything to the contrary, Binance may either accept or reject a Trade Request in its sole and absolute direction.  

Transaction limits, as notified  from time to time on the Website, shall apply to the purchase and sale of Alpha Assets. You acknowledge and agree that you will not be able to purchase or sell an Alpha Asset in quantities in excess of  any applicable transaction limit. 

By submitting a Trade Request you (i) you authorise Binance to lock in your Binance Spot or Funding Account the requisite amount of your Digital Assets that is to be used for the purchase of an Alpha Asset or to lock in your Alpha Account the requisite amount of your Alpha Asset that is to be sold, until such time that the transaction is fully settled or the Trade Request is cancelled, rejected or fails, and (ii) you understand and agree that your transaction may fail due to a variety of factors such as blockchain congestion, excessive price slippage or other execution factors and that Binance does not in any way guarantee or provide any assurance that the transaction will be successfully executed. 

If and to the extent that Binance accepts all or part of your Trade Request and the transaction is successfully executed, the transaction will be settled by Binance debiting the amount of Digital Assets or Alpha Assets to be converted from your Spot or Funding Account or Alpha Account (as the case may be) and crediting the amount of Alpha Assets or Digital Accounts to be received to your Spot Account.  Binance does not guarantee or provide any assurance that settlement of the transaction will occur or that settlement will occur within any specific timeframe.  Binance will not be responsible or liable in any circumstances for potential loss or opportunity cost that may be incurred during this settlement period.  

If your transaction fails, you will be refunded the Digital Asset you used to proceed to the transaction. If your Digital Assets were subject to a conversion in a Native Asset or in an accepted stablecoin as described above, you will be refunded an equivalent amount of Digital Assets in such Native Asset and / or accepted stablecoin. Consequently, you understand and agree that the Digital Asset initially held to the credit of your Spot or Funding Account may be converted without receiving the Alpha Asset you were seeking to purchase. 

  1. Managing your Alpha Assets

Binance supports limited Binance Services with respect to Alpha Assets. In particular, you understand and agree that Alpha Assets (i) are not supported for withdrawals, meaning that you shall not be able to withdraw such Alpha Assets to an external wallet, (ii) will only be accessible through your Alpha Account through your Binance Account and (iii) cannot be used with other Binance Services such as Binance Earn. 

If an Alpha Asset is ultimately listed on the Exchange, you may transfer your Alpha Assets from your Alpha Account to your Spot Account. Once your Alpha Assets are transferred to your Spot Account, you will be able to withdraw such assets  to an external address. 

  1. Transaction history 

You have access to a record of your transactions and your orders made on Alpha Assets, in your Alpha Account. The provisions of the General Terms (“10. Account information and Transaction records”) shall apply to your use of your Alpha Account. 

5. Fees, Payments, and Taxes

By submitting a Trade Request, you agree to purchase Alpha Assets at a price that will not exceed the price set out in the Alpha Quote or to sell Alpha Assets at a price that will not be less than the price set out in the Alpha Quote. The Alpha Quote includes (i) the maximum price of the Alpha Asset that you purchase or the minimum price of the Alpha Asset that you sell, (ii) Binance’s remuneration, (iii) network / blockchain fees and (iv) third-party services fees (e.g. fees incurred on decentralised exchanges). 

You are responsible for any taxes arising from your earnings or transactions from Alpha Services.

6. Disclaimer of Warranties and Limitation of Liability

All disclaimers and limitations of liability in the General Terms of Use apply to Alpha Services. 

In addition, Binance expressly disclaims any and all liability for any loss, cost or damage that may be suffered that arises directly or indirectly with respect to Alpha Assets, including without limitation any liability that may be incurred due to potential losses in the value of any Alpha Assets that you purchase. Without prejudice to any other provision in these Alpha Terms and the General Terms of Use, you hereby acknowledge and agree that in no event will Binance or any Binance Affiliate be responsible or liable to you or any other person or entity for:

  • any risk identified in clause 7 of these Alpha Terms (Assumption of Risks);

  • any action or inaction in accordance with these Alpha Terms;

  • the addition to or removal from the Alpha Section of a Digital Asset;

  • Binance’s decision to restrict, suspend or terminate your access and / or use of the Alpha Services; or

  • any limits or restrictions that Binance may apply to your access and / or use of the Alpha Services, from time to time.

Binance makes no warranties and provides no assurance whatsoever regarding the actual or potential returns or performance results of Alpha Assets and whether any particular Alpha Asset will be listed on [Binance Exchange] in future.

Neither Binance, nor any affiliate or representative of Binance, makes any representation or warranty that the Alpha Services nor any particular Alpha Asset transaction is appropriate (i) for any user or in any location, nor (ii) that the transactions and services described in these Alpha Terms are (or will continue to be) available or appropriate for any user or in any location.  You are strongly encouraged to carefully review these Alpha Terms and to seek independent professional advice as to whether these services and any particular Alpha Asset transaction is appropriate for you having regard to your personal circumstances and objectives, financial position and risk tolerance.

By accepting these Alpha Terms, you hereby unconditionally and irrevocably; 

(i) confirm that you understand, accept and assume full responsibility for participating in one or more Alpha Asset transactions together with any and all associated risks with such transactions, including without limitation the risks described in these Alpha Terms and the Risk Factor Statement;

(ii) confirm and agree that you bear full responsibility for ensuring that the Alpha Services are suitable for you, taking into account your own financial objectives and circumstances, and you shall be solely responsible for any profit or loss sustained in connection with your use of the Alpha Services and any investment in Digital Assets, and you further confirm that you have carefully assessed whether, and determined that, each Alpha Asset transaction is appropriate for you;

(iii) acknowledge and agree that you are not relying on Binance in any way to protect your interests in relation to pricing nor any other aspects of execution of any transactions pursuant to, or otherwise in connection with, the Alpha Services.

7. Risk Disclosure

You are advised that using Alpha Services and purchasing an Alpha Asset entails certain risks, and in particular the risk of loss of your investment. 

Binance Alpha features emerging digital assets which are not listed on the Binance Exchange and which are generally expected to have a low market capitalization and unique or novel characteristics. The inclusion of a digital asset as an Alpha Asset does not in any way imply, directly or indirectly, that such digital asset will be listed on Binance Exchange in future.

You are reminded that Digital Asset prices can be volatile. The value of any investment that you make in Alpha Assets may go down or up and you may lose all or part of the value of the amount that you invest. Please note that in relation to Binance Alpha (i) the risk of loss of all or part of your investment is magnified with Binance Alpha assets as they are subject to increased price volatility (ii) by purchasing Alpha Assets, you are exposed to price slippage and blockchain fees, which can have a negative impact of the price of Alpha Assets (iii) Alpha Assets cannot be withdrawn from the Binance Exchange, and you will only be able to access Alpha Assets from your Alpha Account only. 

You are solely responsible for your investment decisions. Binance will not in any circumstances be responsible or liable  for any losses that you may incur arising directly or indirectly from an investment in Binance Alpha Assets.  

Binance will not in any circumstances be responsible or liable  for any losses that you may incur arising directly or indirectly from an investment in Binance Alpha assets or any other Digital Assets.

8. Suspension and Termination of Services

Binance reserves the right to suspend or terminate Alpha Services, in whole or in part, under the conditions outlined in the General Terms of Use. In addition, Binance may pause Alpha Services to conduct maintenance or address technical issues impacting the service.

9. Governing Law and Dispute Resolution

All matters relating to the governing law and dispute resolution for Alpha Services are governed by the General Terms of Use, except where expressly modified by these terms. Please review the General Terms of Use for details on applicable law and dispute processes.

10. Modification of Alpha Terms

Binance may modify these [insert product name] Terms at any time at its discretion. Any such modifications will be communicated in accordance with the General Terms of Use, and the continued use of [insert product name] Services will constitute your acceptance of any changes.
